Proposed Amendments to the HAEPTA Bylaws

The following proposed amendments will be voted on at the General PTA meeting on March 5th.

AMENDMENTS

 

ARTICLE VI: OFFICERS AND THEIR ELECTION

Section 2. Officers and their election:

Section 2, paragraphs a. and d. are deleted in their entirety and replaced with the following: 

  1. The officers of this association shall consist of a president, five (5) vice-presidents, a secretary, and a treasurer.

 

  1. A person shall not be eligible to serve more than two consecutive terms in the same office, without the approval of the association.

 

 

Section 4. “Vacancies” is deleted in its entirety and replaced with the following:

 

Section 4.  Removal and Vacancies:  Any member of the executive board may be removed by the affirmative vote of a majority of all other members of the executive board.  A vacancy occurring in the office of president shall be filled for the remainder of the unexpired term by the executive vice president.  A vacancy occurring in any other office shall be filled for the unexpired term by a person elected by a majority vote of the executive board, at a regular or special meeting, notice of such election having been given.

 

 

ARTICLE VII: DUTIES OF OFFICERS

Section 2. is deleted in its entirety and replaced with the following:

Section 2.  The vice-president(s) shall act as aide(s) to the president and shall perform such other duties as may be delegated.

 

  1. the 1st vice-president shall serve as the Executive Vice President. The executive vice-president shall act as aide to the president and perform such other duties as may be delegated. The executive vice-president shall also perform the duties of the president in the absence or inability of that officer to act;
  2. the 2nd vice-president shall serve as Vice President – Programs;
  3. the 3rd vice-president shall serve as Vice President – Membership;
  4. the 4th vice-president shall serve as Vice President – Fundraising;
  5. the 5th vice-president shall serve as Vice President – Communications

Section 3. is deleted in its entirety and replaced with the following:

Section 3.  The secretary shall record the minutes of all meetings of the association and of the executive committee and board, shall prepare all written communications as directed by the association or by the executive board, and shall perform such other duties as may be delegated.

 

Section 4. is deleted in its entirety.

Section 5. is renumbered to Section 4.

Section 6. is renumbered to Section 5.

Section 6. paragraph b. is deleted in its entirety and replaced with the following:

  1. Deliver to their successors all official material within a reasonable time following the end of the school year.

 

ARTICLE IX: EXECUTIVE BOARD

This Article is amended as shown via track-changes:

Section 1. The executive board shall consist of the officers of the association, the chairs of standing committees and the principal of the school or a representative appointed by him/her. If constituted as a PTSA, the board shall include at least one student. The chair of the standing committees shall be appointed by the president of the association with the advice and counsel of the nominating committee. The members of the executive board shall serve until the election or appointment and qualification of their successors.

 

#Section 2. A PTA member shall not serve as a voting member of a constituent organization’s board at the local, council, district, region, state or national level while serving as a paid employee of or under contract to that constituent organization.

 

Section 3. The duties of the executive board shall be:

  1. To transact necessary business in the intervals between association meetings and such other business as may be referred to it by the association.
  2. To create standing committees.
  3. To review and advise on the plans of work of the standing committees.
  4. To prepare and submit to the association for approval a budget for the fiscal year.
  5. To approve expenditures outside of the ordinary course and scope of business, within the limits of the budget.

Section 4. Regular meetings of the executive board shall be held monthly during the school year, the time to be fixed by the president at the first meeting of the year. _10_ shall constitute a quorum. Special meetings of the executive board may be called by the president or by a majority of the members of the board. A treasurer’s report must be given at every board meeting.  Any action required or permitted to be taken by the executive board may be taken without a meeting by a vote by written ballot setting forth the matters to be voted on, which ballot is sent to the email of record of each member of the executive board.  All ballots shall be returned to the secretary or such other officer as may be designated, who will tabulate and present the results of the balloting to the board, and such result shall be filed with the minutes of the meetings of the executive board.  A quorum of the executive board must participate in the vote, and a majority of such participants must vote to approve the matter in order to take any such action without a meeting.

 

ARTICLE X: EXECUTIVE COMMITTEE

This Article is amended as shown via track-changes:

Section 1. The executive committee shall consist of the elected officers.

 

Section 2. The duties of the executive committee shall be to transact business at the discretion of the president or other officers, as necessary, in the interval between executive board meetings.

 

Section 3. The majority of the executive committee shall constitute a quorum.

 

Section 4. Meetings of the executive committee shall be held as needed.

 

ARTICLE XI: STANDING AND SPECIAL COMMITTEES

 

This Article is amended as shown via track-changes:

 

Section 1. The executive board may create such standing committees as it may deem necessary to promote the Purposes and carry on the work of the association. The term of each chair shall be one year and/or until the election and qualification of a successor.

 

Section 2. The chair of each standing committee shall present a plan of work to the executive board for review.   The executive board retains the right to amend the plan of work as it deems necessary.

 

Section 3. The power to form special committees and appoint their members rests with the the executive board.

 

Section 4. The president shall be a member ex-officio of all committees except the nominating committee.
